Key points
- Anthropic is committing 5% of its shares to a wholly owned LLC called the Anthropic Public Benefit Fund, subject to stockholder approval.
- Elon Musk told the company to give shares straight to the public instead, then pledged one of his SpaceX shares to every child in America, worth about $10.5 billion.
- David Sacks and others are asking who controls the fund and who receives from it, questions the announcement does not answer.
Anthropic said on October 18th, 2026, that it is putting part of itself into a new entity. "Subject to stockholder approval, 5% of Anthropic's shares will be committed today, with an additional 2% added at the board's discretion for every 50% increase in the company's value above a set baseline," the company wrote. The fund is "a wholly-owned LLC, rather than a 501(c)(3) or other format," and none of the equity it holds may be used for lobbying or political giving.
The company said the money might go to traditional nonprofits, or to direct distributions to specific populations, or to "bolder approaches" aimed at the job displacement its own technology causes. It has not said which.
What the fund actually commits
One number is being committed today, and it is 5% of the company. A second figure, roughly 20%, has been circulating since the announcement; it comes from Anthropic co-founder Jack Clark, who wrote that "between this and our prior commitments, roughly 20% of all Anthropic equity will be dedicated to the public good." That is a running total of everything the company and its founders have ever pledged, including their promise to give away 80% of their own holdings. It is not the size of this fund.
David Sacks, replying to Clark, made the distinction sharper: "You've put 20% of your equity in an LLC. Whether it serves the public good remains to be seen." An LLC is not a charity. It files no public return, is bound by no distribution requirement, and can be unwound. Anthropic has named neither the people who will control the fund nor anyone who will receive from it.
Musk's counter-proposal
Elon Musk replied to Anthropic's post the same day: "I recommend giving the shares directly to the public," adding, "This is what I will be doing." On Monday, October 19th, 2026, he said what he meant, pledging one of his SpaceX shares to every child in the United States next year. "This will be the first of many," he wrote, without saying how the shares would reach them.
CNBC reported there were 72 million American children under 18 as of July 1st, 2025, and that SpaceX (SPCX) closed at $146.03 on October 16th, which values the pledge near $10.5 billion. Musk held about 4.8 billion SpaceX shares as of an August 2026 SEC filing, so the giveaway is roughly 1.5% of the stock he owns outright. Anthropic's commitment is 5% of an entire company, with an escalator that can grow it.
What to watch
Anthropic's 5% needs stockholder approval, a named set of recipients, and someone identified to control the LLC. Musk's pledge needs a mechanism and an eligibility rule, neither of which he has given. Until those arrive, both are statements rather than transfers, and the only record that will show either one is a filing.
